KRLegal (Keridine | Requena) is a Panamanian business law firm working across five practice areas — corporate, contracts and transactions, mergers and acquisitions, real estate and immigration — and part of the same group as the real estate agency BROKRS. This note explains what each practice covers and when in a company’s life cycle each one comes in.
A business firm, not a filing service
The firm was incorporated in 2019 and is made up of attorneys with experience in commercial law. Every matter starts from the client’s operation rather than from the filing: what the company does, how it makes money, what risks it carries and what decisions lie ahead.
That approach explains why the five practices are connected. An acquisition starts in corporate, runs through due diligence and contracts, and often ends in real estate and immigration once the buyer sets up its operation in Panama.
Corporate
Incorporation of corporations, limited liability companies, branches of foreign companies and private interest foundations, together with their corporate governance, amendments and ongoing compliance. This is the practice that decides who controls the company and how the investment is protected.
Contracts and transactions
Drafting, review and negotiation of the contracts that hold the operation together: distribution, supply, services, licensing, joint ventures, shareholders’ agreements, commercial leases and security interests. When the counterparty is foreign, enforceability in Panama is reviewed as well.
Mergers and acquisitions (M&A)
Purchase, sale and merger of companies from start to finish: legal due diligence, deal structuring — share deal or asset deal — negotiation of the purchase agreement, closing conditions and post-closing agreements. The firm acts for buyers and sellers, coordinating with the transaction’s financial and tax advisors.
Real estate
Property due diligence, promise-to-purchase and purchase agreements, deed execution and registration with the Public Registry, financing and mortgages, leases and incorporation into the Horizontal Property Regime.
This is where the relationship with BROKRS is most visible: the group’s real estate agency handles the search, valuation and negotiation of the property, while KRLegal covers the legal side of the transaction. The client keeps a single point of contact from the search to registered title.
Immigration
Temporary and permanent residence permits, visas, work permits before the Ministry of Labor, residency for dependents and naturalization — including the relocation of executives and staff for companies setting up in the country.
How we work
The firm is a member of the Chamber of Commerce, Industries and Agriculture of Panama and works in Spanish and English. Counsel is provided either on a one-off basis — a transaction, a filing — or on an ongoing basis, acting as the company’s legal team for its day-to-day matters.
